Terms of Use

These terms are published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and are an ‘electronic record’ as contemplated under section 2(t) of the Information Technology Act, 2000 and the Rules thereunder. These Terms being an electronic record are generated by a computer system and do not require any physical or digital signatures.

The App is owned by Cashless Technologies India Private Limited having registered office at 501 Sagartech Plaza, Sakinaka, Andheri East, Mumbai, Maharashtra 400072, IN (Cookiee at https://cookiee.com/). Use of the App by the user (“You”/ “User”) is subject to the terms and conditions contained herein.

Accessing, browsing or otherwise using the App will be construed as Your unequivocal and irrevocable acceptance and acknowledgement to the terms and conditions contained under Terms of Use and binding policies hereof. By using the App, You declare to have carefully read, understood and agree to be bound by these Terms of Use. Cookiee may at its sole discretion allow or disallow access to App and reserves the right to change any of the terms and conditions contained herein at any point in time. It is Your responsibility to periodically review these Terms of Use any update and changes and Your continued use of the App will be considered as Your acceptance to such updates and changes.

You should have completed 18 years of age and be competent to enter into a contract under Indian contract law. If You are under 18 years of age who is intending to avail the services of the App should do so through Your legal guardian in accordance with applicable law.

If You are using the App on behalf of any corporation, company, institution, association or other entity, the person should be authorized by such corporation, company, institution, association or other entity to use and access the App.

Cookiee reserves the right to refuse access to use the services offered at the App to new users or to terminate access granted to existing users at any time without according any reasons for doing so.

Cookiee and its registered Sellers reserve the right, at their sole discretion, to limit the quantity of items purchased per person, per household, or per order. These restrictions may be applied to orders placed by the same User account, the same credit/debit card, and also to orders that use the same billing and/or shipping address.

Further, Cookiee or the Seller retains the right to cancel any order wherein the quantities exceed typical individual consumption. This applies both to the number of products ordered within a single transaction as well as the placement of several consecutive orders for the same product. What comprises a 'typical individual consumption' quantity limit shall be determined on various factors at the sole discretion of Cookiee and the respective Seller.

Products offered for sale by Sellers on Cookiee are intended solely for personal, non-commercial use and end consumption by the Buyer. By placing an order, You explicitly agree and undertake not to use the products purchased for any commercial, promotional, resale, or further distribution purposes.

Cookiee reserves the right to immediately cancel any order, suspend or terminate Your account, and revoke any associated promotional offers or discounts without prior notice if it is suspected that You are engaging in unauthorized resale, dropshipping, or commercial procurement activities on Cookiee.

Every User of the App shall comply with all the applicable laws, including but not limited to the Foreign Exchange Management Act, 1999, notifications issued there under the Exchange Control Manual issued by the Reserve Bank of India, Customs Act, 1962, Information Technology Act, 2000, Prevention of Money Laundering Act, 2002, Foreign Contribution Regulation Act, 1976, Income Tax Act, 1961, Export Import Policy of the Government of India and shall include any amendments, notifications and Rules thereof under the aforesaid enactments applicable for using the App or buying/ selling any product or service through the App.

We affirm that our platform complies with the CCPA Guidelines for Prevention and Regulation of Dark Patterns, 2023 and does not engage in any deceptive design practices and is free from dark patterns. This self-declaration reflects our commitment to transparency, consumer trust, and a fair digital ecosystem.

You may be required to register and set up an account (“Account”) for using the App by entering an email address and password or by using any permitted social media the App account to sign in ("Account Information"). Cookiee as its sole discretion may ask for the verification of Your Account Information provided by You and hence, it is advisable to provide a valid information e.g. like email address or mobile number etc. while creating an Account. The App will set-up an account and email the details of the Account at the email address provided. You can also create and update an Account through Customer Support.

You are solely responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorised use of your account or password. We are not liable for any loss resulting from your failure to maintain the security of your credentials.

You can create one Account only and it is not permitted to transfer or interchange such Account to any other person. The list of information required to be provided by You, the manner of usage, protection and confidentiality of Your information and Account information are more specifically dealt under the App’s Privacy Policy and You are requested to read the Privacy Policy in detail before sharing Your information or creating an Account. By accessing or using the Platform or creating an Account, you expressly consent to the collection, use, processing, storage, retention, and disclosure of your information in the manner described therein.

Payment is an integral part of an online shopping experience. All payments shall be collected through secured payment options.

We accept all prepaid payment options such as all the major Credit Cards, Debit Cards, Net-Banking, easy EMI, UPI etc. Cookiee may also offer industry-leading solution for Cash on Delivery.

All payments for purchases made by You on the App shall only be in Indian Rupees. In case of a prepaid transaction, after payment for the order has been successfully received by Cookiee, You will be sent a notification by email or SMS at the email address or mobile number provided to Cookiee confirming receipt of payment. There may be limits to the amount of Cash on Delivery payments based on pin codes or the State in India where delivery is to be made. Cookiee reserves the right to withdraw or block or limit Your purchases using Cash on Delivery basis transaction history.

Cookiee accepts all Visa, Master Card, Maestro, American Express and Diners cards. You will be redirected to Your issuing bank's site, where You will have to follow the instruction to complete the payment.

You can make payment for an order by using Your Net Banking account. The App accepts payments for Your orders to sellers through various banks. You will be redirected to Your bank's site where You will be able to make payment after entering in Your login id and password that is known only to You.

EMI is one of the payment methods available on Cookiee for Your convenience which allows You to pay for Your orders easily. The equated monthly instalments payment method is only available for customers using certain credit cards as per the relevant terms and conditions being in force. Applicable charges/fees/costs, if any, levied by the Bank for facilitating EMI, shall be directly and solely borne by the Customer. Cookiee does not charge any processing or convenience fee for the said purpose. Any dispute in this regard shall be directly dealt by the Customer with the Bank and Cookiee shall not be held liable in any case, whatsoever.

Payments can sometimes fail or remain in the pending stage. Some of the reasons could be:

1. Incorrect debit or credit card details are entered.

2. Card may be blocked, or card details are no longer valid or need to be updated.

3. The page is accidentally closed or refreshed, or backspace is pressed while the transaction is being processed by Your bank.

4. The connection between Cookiee and Your bank or issuer failed due to some technical reasons and the transaction could not be completed.

5. Card or bank or issuer is not recognised by Cookiee.

6. Incorrect login or password details are entered.

7. Payment amount exceeds the limit mutually agreed to between You and Your bank or issuer.

If You face any of the above payment issues, try placing the order again in a short while or contact Your bank or issuer for technical assistance. Cookiee is not liable for any loss or inconvenience caused to You when making payment or for any wrongful debits to Your cards or net banking accounts.

Users understand and acknowledge that all payments made by the Users using valid credit card/ Debit card/ Cash Card/ and other payment instruments or mechanism including net banking facility and EMI will be processed using a payment gateway or appropriate payment system infrastructure and the same is governed by a separate set of terms and conditions agreed between the User and the respective Issuing Bank and payment instrument issuing company.

For all the purchase of an amount equal to or exceeding INR 2,00,000 (INR two lakhs only), You will be required to upload a copy of Your PAN card, within such time as may be prescribed from the date of purchase, failing which, the purchase made by You will be automatically cancelled. The order shall also stand cancelled if there is a discrepancy between Your name in Account with Cookiee the name printed on the PAN card.

The requirement to provide a copy of PAN card is one time activity and You don’t need to submit it again.

Your shipping address and pin code will be verified with the database of Cookiee before You proceed to pay for Your purchase. In the event Your order is not serviceable by our logistics service providers or the area is not covered, we will request You to provide us with an alternate shipping address. You can make purchases on the App from anywhere in the world but at the same time You must ensure the payment and shipping address is within India.

When You submit an alternative address for delivery, You are responsible for accepting and collecting the package from such alternative address. Confirmation from the logistics service provider of successful delivery to the alternative shipping address is deemed as acceptance of delivery by You and Cookiee will have no liability in this regard.

The delivery of the ordered products from the Seller to You will be made by logistics service providers assigned by Cookiee Deliveries details such as product selection and address cannot be rescheduled after the order has been placed.

The logistics service provider assigned by Cookiee will make a maximum of three [3] attempts to deliver Your order. In case You are not reachable, available or do not accept delivery of products in these attempts Cookiee reserves the right to cancel the order at its discretion. You may be informed of such cancellation by email or SMS at the email address or mobile number provided to Cookiee. The cancelled order is returned to seller. You agree not to hold Cookiee liable for any cancellation.

If You wish to request the App to resend the product, You can do so by placing a new order for the product on the terms set out on the [‘product order page’] when You place the new order. Your order will be accepted subject to availability of the product.

In case there is any dispute regarding the shipment of the product or serviceability for the area not covered by the logistics service providers, Cookiee will not be responsible for the non-delivery of the product.

Title and risk of loss for all products ordered by You shall pass on to You upon delivery of the products at the shipping address provided by You.

In case You order multiple products in one transaction, Cookiee would endeavour to ship all products together. However, this may not always be possible due to some product characteristics or logistics issues or the location of seller and You may receive the products separately and at different times. If You purchase multiple products in a single transaction, then all the products would be dispatched to a single shipping address given by You. If You wish to ship products to different addresses, then You should book the orders separately based on the shipping addresses.

In the event, the product package received by You is missing one or more products or accessories or does not include the freebie or the order is partly delivered, You should inform Cookiee through the Customer Care Team within 3 days of delivery date of the package. Missing products claims will not be accepted after 3 days from delivery date.

When a package delivered is missing one or more products or accessories. You are requested to return the original package delivered to the seller in accordance with the Return Policy.

In the event of dispute, Cookiee will coordinate with You and the seller to reach an amicable solution. Cookiee is only a facilitating link between You and the seller and will not be liable in any manner.

An estimated delivery time of each product will be displayed on the [‘product order page’]. On placing Your order, You will receive an email or SMS at the email address or mobile number provided to Cookiee containing a summary of the order and also the estimated delivery time to Your location. The seller may take additional time to pack and dispatch certain products and this time will be indicated by the message on the [‘product order page’]. This period of time is to be added to the shipping speed You choose.

Delivery timeframes are just estimates and are not guaranteed delivery timeframes and should not be relied upon as such. Deliveries to certain locations may take longer than expected due to accessibility of the location and serviceability by the logistics service provider.

Sometimes, delivery may take longer due to:

1. Bad weather.

2. Transportation delays.

3. Natural calamities.

4. Political disruptions.

5. Logistics service provider related challenges.

6. Product lost in transit.

7. Regional or national holidays which are considered as delivery holidays.

8. Other unforeseen circumstances or events beyond the control of Cookiee or logistics service provider.

If the estimated delivery date has passed and You still have not received Your order, please contact us and we will take steps to track Your package. In such cases, we may also try to proactively contact You. Please check Your emails and SMS regularly for such updates.

Cookiee will not compensate for any mental agony or inconvenience, or loss caused due to delay in delivery for any reason. You may be informed by email or SMS at the email address or mobile number provided to Cookiee if any product in the order is unavailable or is delayed or lost in transit.

In Consideration of services of the services rendered by us, you shall pay to Cookiee a fee, if applicable. We reserve all right to revise the fees periodically and we will intimate you about such change within reasonable time. Fees once charged by Cookiee will not be refunded to you for any matter whatsoever. In event where fees is not paid by you, we have all rights to deduct such overdue fees from the settlement amount.

Processing Fee is universally applicable to all our valued customers and includes the Platform Fees, Shipping Fees, and Packaging Fees which are inclusive of GST unless stated otherwise.

Platform Fees is charged by Cookiee for the services provided on the platform, which includes without limitation, access to the platform services, brand liaison, and comprehensive customer support.

Shipping Fees may vary for different pin codes because of the increase in shipping cost based on location of sellers or seller’s is located in a different areas. Delivery charges will vary according to pin codes as well as type of product.

Cookiee reserves the right to provide Open delivery or not. Open delivery service which is provided by Cookiee with some Specifics logistics service providers. Open delivery depends upon our logistics service provider’s service dependencies. You can’t open parcel if logistics service provider doesn’t allow and, in such event, You have a right to accept the parcel after paying the amount and thereafter You can use our hassle-free return policy.

Please refer to the Return and Refund Policies, mentioned below if You wish to return the delivered product to Cookiee.

You represent, warrant and undertake that:

(a) your access to and use of the App shall at all times comply with all applicable laws, rules and regulations;

(b) all information, data and details provided by you in connection with your registration on or use of the App are true, accurate, complete and not misleading;

(c) you have all necessary rights, consents and permissions to provide any content or information submitted by you on or through the App; and

(d) your use of the App and any content provided by you does not and shall not infringe, misappropriate or violate any third-party rights, including intellectual property rights, privacy rights or contractual obligations.

(e) Each User is solely responsible for payment of all taxes, legal compliances, statutory registrations and reporting. We are in no way responsible for any of the taxes except apart from or its own tax liabilities.

You agree that in the event any information provided by you is found to be false, misleading or inaccurate, the Platform shall have the right to suspend or terminate your access, cancel transactions, and restrict or block your future use of the App, without prior notice and without prejudice to any other rights or remedies available to it.

You agree that you shall not host, display, upload, modify, publish, transmit, store, update or share any content or engage in any activity that:

(a) belongs to another person without appropriate rights or authorization;

(b) is false, misleading, defamatory, libelous, obscene, offensive, harassing, hateful or otherwise unlawful;

(c) infringes any intellectual property rights, privacy rights or other proprietary rights of any third party;

(d) violates any applicable law or regulation in force;

(e) impersonates any person or entity or misrepresents your affiliation with any person or entity;

(f) contains viruses, malware, trojans or any other harmful code designed to disrupt or interfere with the Platform, or systems and its performance, security;

(g) attempts to gain unauthorized access to Cookiee, its systems, data or other users’ accounts;

(h) involves the use of automated systems, bots, spiders or similar methods to access, scrape or extract data from the Platform without authorization; or

(i) threatens the security, integrity or sovereignty of any jurisdiction or encourages unlawful or criminal activity.

You further agree not to:

(a) copy, reproduce, distribute, modify or create derivative works of any content on Cookiee without prior written consent;

(b) reverse engineer, decompile or disassemble any part of the App;

(c) make any unsolicited communications to other Users

(d) engage in any activity that interferes with the operation, security or performance of the App; like transmitting any information on or through the App or

(e) use the App to transmit unsolicited communications, spam or promotional materials without authorization.

Cookiee reserves the right to remove any content, suspend or terminate access, and/or take any other necessary action if it reasonably believes that you are in breach of this clause or any applicable law, without prior notice.

You shall use the App only for lawful purposes and in accordance with these Terms. You shall not use the App in any manner that may harm, disable, overburden or impair the App or interfere with any other user’s use of Cookiee.

Cookiee, upon obtaining knowledge by itself or been brought to actual knowledge by an affected person/User in writing or through email signed with electronic signature about any such information, shall be entitled to disable such information that is in contravention of this Clause or any provisions of these Terms of Use. Cookiee shall be entitled to preserve such information and associated records as per applicable laws. for investigation purposes.

To the fullest extent permitted by applicable law, in no event shall Cookiee its affiliates, directors, officers, employees, agents, or representatives be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with your access to or use of, or inability to access or use, the Platform, Services, or Products, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, and whether or not advised of the possibility of such damages.

To the maximum extent permitted by law, Cookiee do not warrant or assume responsibility for: (i) any errors, mistakes, or inaccuracies in Content; (ii) any personal injury or property damage arising from access to or use of the Platform; (iii) any unauthorized access to or use of servers or any personal information stored therein; (iv) any interruption, suspension, or cessation of transmission to or from the Platform; (v) any bugs, viruses, or other harmful code transmitted by any third party; (vi) any loss or corruption of data or Content; (vii) any errors or omissions in any Content or any loss or damage arising from reliance on Content; (viii) any transactions, dealings, or disputes between users or between users and third-party providers; or (ix) any acts or omissions of third-party service or product providers.

In no event shall the aggregate liability of Cookiee arising out of or relating to these Terms exceed the total amount paid by you to Cookiee in the twelve (12) months immediately preceding the event giving rise to the claim.

The Platform and all Services and Products made available through it are provided on an “as is” and “as available” basis without any representations or warranties of any kind, whether express, implied, or statutory.

To the fullest extent permitted by applicable law, Cookiee expressly disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, or completeness of the Platform, Services, Content, or Products.

Without limiting the foregoing, Cookiee does not warrant that the Platform or Services have been or will be provided with due skill, care, or diligence, or that they will be uninterrupted, timely, secure, error-free, or free from viruses, bugs, or other harmful components, or that any defects will be corrected. Any reliance on the Platform, Services, Content, Products or any material or data downloaded or otherwise obtained through the use of the Platform is accessed at your sole discretion and risk, and you shall be solely responsible for any damage to your device or loss of data arising therefrom.

You acknowledge that Cookiee facilitates access to Products and Services offered by sellers and does not itself manufacture, verify, inspect, or guarantee such Products or Services, and accordingly makes no warranties in relation thereto.

Cookiee is neither liable nor responsible for any actions or inactions of the other users of the Platform or any breach of conditions, representations or warranties by them. Cookiee is not obligated to mediate or resolve any dispute or disagreement amongst two or more users of the Platform.

You agree to indemnify, defend, and hold harmless Cookiee, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, actions and expenses (including reasonable legal fees) arising from: (a) your access to or use of the Platform; (b) your Content or any information you submit or transmit through the Platform; (c) your violation of these Terms; (d) your violation of any applicable law or third-party rights.

Cookiee reserves the right, at your own expense, to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with such defence. You agree not to settle any matter in which we are named as a defendant and/or for which you have indemnity obligations without our prior written consent. We will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it.

These Terms shall remain in full force and effect for so long as you access or use the Platform.

Termination by Cookiee: We reserve the right, at our sole discretion, to suspend, restrict, deactivate, or terminate your account and/or access to the Platform, in whole or in part, without prior notice, if we reasonably believe that: (a) you have violated these Terms or any applicable policies; (b) any information provided by you is false, inaccurate, incomplete, or misleading; (c) your use of the Platform is unlawful, fraudulent, abusive, or may expose us, other users, or third parties to harm, liability, or regulatory risk; or (d) such action is required to comply with applicable law, a court order, or a request from a governmental authority.

Termination by User: You may terminate your account and discontinue your use of the Platform at any time by following the account closure process made available on the Platform or by contacting us through the details provided herein.

Upon termination or suspension of your account or access to the Platform: (i) your right to access and use the Platform shall immediately cease; (ii) any licenses or permissions granted to you under these Terms shall automatically terminate; and (iii) any obligations accrued prior to the effective date of termination, including payment obligations relating to orders placed or transactions completed through the Platform, shall remain in full force and effect.

Termination of these Terms shall not affect any rights, remedies, obligations, or liabilities accrued by either party prior to such termination. Any provision of these Terms which by its nature is intended to survive termination, including provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, and accrued payment obligations, shall survive the termination or expiration of these Terms.

If you submit material, and unless we indicate otherwise, you grant Cookiee and its affiliates a nonexclusive, royalty-free, perpetual, irrevocable, and fully sub licensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media. You grant Cookiee and its affiliates and sub licensees the right to use the name that you submit in connection with such content, if they choose. You represent and warrant that you own or otherwise control all of the rights to the content that you submit; that the content is accurate; that use of the content you supply does not violate this policy and will not cause injury to any person or entity; and that you will indemnify Cookiee or its affiliates for all claims arising from content you supply. Cookiee has the right but not the obligation to monitor and edit or remove any activity or content. If you believe that any content available on the Platform infringes your copyright or other intellectual property rights, you may submit a written notice, and upon receipt of a valid notice, Cookiee may remove, disable access to, or otherwise address the allegedly infringing material in accordance with applicable law. Cookiee takes no responsibility and assumes no liability for any content submitted by you or any third party.

All the intellectual property used on the App except those which have been identified as the intellectual properties of the other parties shall remain the exclusive property of the Company. The Users agree not to circumvent, disable or otherwise interfere with security related features of the App or features that prevent or restrict use or copying of any materials or enforce limitations on use of the App or the materials therein. Nothing in these Terms transfers any intellectual property rights to you. Subject to these Terms, Cookiee grants you a limited, non-exclusive, non-transferable and revocable licence to access and use the Platform solely for personal and lawful use.

The materials on the App or otherwise may not be modified, copied, reproduced, distributed, republished, downloaded, displayed, sold, compiled, posted or transmitted in any form or by any means, including but not limited to, electronic, mechanical, photocopying, recording or other means.

All content included on this App, such as text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and products, is the property of Cookiee or its suppliers and is protected by Indian Copyright laws. All the products and the compilation of all products on this site is the exclusive property of Cookiee and protected by Indian Copyright laws.

Cookiee, the Cookiee logo, and other marks indicated on the App are trademarks of Cookiee or its affiliates. Other Cookiee graphics, logos, page headers, icons, scripts, and service names are trademarks or trade dress of Cookiee or its affiliates. Cookiee and its affiliates' trademarks and trade dress may not be used in connection with any product or service that is not Cookiee' or its affiliates' as applicable, in any manner that is likely to cause confusion among users, or in any manner that disparages or discredits Cookiee or its affiliates. You shall not use, reproduce, imitate, register or otherwise exploit any trademark, logo or branding appearing on the App without the prior written consent of the relevant rights holder. All other trademarks not owned by Cookiee or its affiliates that appear on this site are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Cookiee or its affiliates.

All disputes will be subject to Arbitration at the respective jurisdictions in English by a sole arbitrator appointed by Cookiee under the laws prevalent in the respective jurisdictions as mentioned herein below. You agree to submit to the personal jurisdiction of the courts located within the said jurisdiction, for the purpose of litigating all claims that arise between You and Cookiee.

Unless otherwise required by a mandatory law of any jurisdiction, these Terms of Use (and any non-contractual disputes/claims arising out of or in connection with them) are subject to the laws of Mumbai, India without regard to choice or conflicts of law principles. Further, you and Cookiee agree to the jurisdiction of the Courts of Mumbai to resolve any dispute, claim, or controversy that arises in connection with these Terms of Use and Privacy Policy of the Company and any non-contractual disputes/claims arising out of or in connection with them.

If any provision of these Terms of Use is deemed invalid, unlawful, void or for any other reason unenforceable, then that provision shall be deemed severable from these Terms of Use and shall not affect the validity and enforceability of any of the remaining provisions.

No provision of these Terms of Use shall be deemed to be waived and no breach excused, unless such waiver or consent shall be in writing and signed by Cookiee Any consent by Cookiee to, or a waiver by Cookiee of any breach by Users, whether expressed or implied, shall not constitute consent to, waiver of, or excuse for any other different or subsequent breach.

In accordance with the applicable law, any grievances which you may have with respect to the information shared by you with us hereunder and its treatment or any grievance related to Services being availed hereunder, may be directed by you to such grievance officer or at the below mentioned coordinate:
